If you install one version in a different directory than the other, then there is no overwriting done. The upgrade is really a complete program, not something that is added to an earlier version to make it better. The only distinction between the full version and the upgrade is that the users of an earlier version get the "Upgrade" price. I don't know if this is a discount for being loyal customers, or a because there will not be as much technical support required for a previous user as for a new user. Or something altogether different.
