Actually, I don't think there is any need for the board to get involved at all. Rose wants to step down and she has a potential person in mind. I can only see our involvement in this if Rose couldn't find someone. Rose can ask if Deb wants to do it and if she does, that's all there is to it. I suppose technically, Rose is currently the CC and SC of DC, so Rose (as CC) can *technically* vote for Deb as SC and then step aside as a CC with Deb taking over.
