    3. Betsy is exactly correct. The NE/NC CCs need to submit some candidates and then those candidates should submit their qualifications. Then the AB should select the replacement from those candidates. Not a peep about how the Advisory Board is to go about deciding who we appoint (nor any time limit.) This doesn't prohibit an election, it just doesn't say one is required. It also doesn't prohibit flipping a coin, formally or informally polling the region's CC's, picking the runner-up from the previous election, or any other means. Theoretically, we could even poll the CC's and then appoint whoever gets the *fewest* votes. Guaranteed to stir things up :-), but it wouldn't be against the By-Laws. All I'm saying is that we ought to ask the NE/NC CC's how they'd LIKE us to go about making the appointment. It's their representative we're appointing, and there's nearly a full year of the term left to go, so we want to make sure that even the CC's who disagree with the final choice at least feel that they had a say in the process. Otherwise whoever gets appointed may be faced with being labeled "the Board's hand-picked yes-man" instead of the NE/NC CC's Rep, even if they're exactly the SAME person that most of the region's CC's would have picked given a choice.     3. Betsy is correct. There is no provision for a special election to replace a rep in the bylaws. I suggest a call for volunteers be issued on the SC list, asking the SC's of the region to forward to their state lists, and to the NE/NC list. It might also be a good idea to ask the CC's of the region to suggest candidates for the position. Well, there has to be either a deadline or else a minimum number of submissions, so we'll know when to start the election and/or the selection process. How about Friday, Oct 15? With a reminder sent on Wed Oct 13 if we don't have at least 2 submissions by then. Does sending the announcement require a formal motion to authorize it? By the way, is Ed Book taking minutes yet, and if so, what is happening with them?

An election is fairly time-consuming, and some CC's might prefer to avoid going through another one so soon, but others might think it's worth the time it takes, in order to have more say in who their CC Rep is. I don't think we need a formal poll on whether they'd want to hold an election, though. Maybe just a request to send a message to their remaining CC Rep (Tina Vickery mailto:TVick65536@aol.com) and/or their SC Rep (Joy Fisher mailto:jfisher@ucla.edu ) expressing whether they want an election or not. If the feedback comes in that they don't want an election, then we should at least send the "resumes" to the NE/NC state lists and ask for CC input in making our decision, and give very high weight to what we hear. It is, after all, the CC's of that region whom the Rep is representing. Teri Pettit

In the event a board member is unable to complete his/her term, the Advisory Board will appoint a replacement to serve until the next scheduled election." It would be possible to simply name the person who was the runner-up to Bonnie in the election to fill the position until the next election. However, I see this option as basically flawed. Imagine a congressional post made available by a resignation being filled by the resigning congressperson's opponent. I look at this as possibly a better solution: What if we put out a call for those who would like to take over the NE/NC CC Rep position? We allow 1 week (I think this is plenty of time) for these folks to announce to us their desire to fill the vacancy and to submit a short blurb (or resume, or whatever you want to call it) spelling out their qualifications and why they'd like to represent the CCs in this region. These announcement/resumes can be sent to either the NC or to the Board Secretary, who can in turn forward them to the BOARD-EXEC list. There we can discuss and decide over, say, a one-week period.     3. I have listened carefully to this discussion and at this point have no real solution just some profound opinions. I have no doubt that the SC being discussed has stepped on people pretty hard. But I also know that having dealt with some complainants on the previous Board they can be just as controlling. I personally think this may be a combination of personal vendetta and real time problem. This has been a good honest discussion by members of this Board all of whom I respect for their sincerity of purpose and their desire to honestly represent their constituents. But in this case I don't believe the Board should consider SC removal unless the CCs vote approval. The state in question is an incorporated entity with bylaws insufficient to solve this internal problem because they are a top down organization as this state project's bylaw extraction shows: SECTION (Deleted). REMOVAL FROM OFFICE. Removal from office shall be by resignation or by two-thirds vote of the Board followed by a majority vote of members present at the next following General Membership Meeting or special online vote. Reasons for removal will be: 1.Behavior which can be shown to be detrimental to the mission of the project. 2.Shall include, but not limited to, abandonment of duties, and/or non compliance to Project guidelines. Note the word "followed". The state board must initiate removal action. This seems to protect the leadership by making their removal difficult, hardly a bottoms up situation, but nevertheless a bylaw adopted and in place. Our bylaws do provide for removal and supercede those of any subordinate part of the Project but only if the CCs act first. But something has bothered me over the course of serving on two Boards and that is vague grievances pitched to the Board and unsupported by facts of any kind. If someone complains that so and so did such and such we should ask for copies of the email and/or other supporting evidence to be filed by the Secretary. I would suggest we do that now for this problem. There are always a few who will tangle with the leadership and be unhappy but this is not cause for the Board getting involved unless the interests of the USGW Project are being threatened or harmed. The world has many people with controlling instincts which become manifest when they marry, assume some office or cannot control a situation. One or more of these factors may be the case here on both sides.
